These Terms and Conditions (“Terms”) apply to your use of dershfeather.com (the “Site”) and to every quote, order and purchase of products or services from Dersh Feather and Trading Corp (“Dersh Feather,” “we,” “us” or “our”), 144 W 37th St, Suite 4B, New York, NY 10018. By using the Site, requesting a quote or placing an order, you agree to these Terms, our Sales and Shipping Policy, our Return Policy and our Privacy Policy, which are part of these Terms. If you are ordering for a company, you confirm that you are authorized to bind that company.
1. Using the Site
- You may use the Site to learn about our products, request quotes, book showroom appointments and contact us. You agree not to misuse the Site, including by interfering with its operation, sending spam or false submissions, trying to gain unauthorized access, or copying or scraping its content in bulk.
- All text, photos, graphics, logos and other content on the Site are owned by Dersh Feather or used with permission and are protected by copyright and trademark law. You may not copy, reproduce or use them, including our product photos, without our written permission.
- We may update, change or remove any part of the Site at any time.
2. Product information
- We work to describe and photograph our products accurately. Feathers are a natural material, so size, shape, density, markings and color vary from piece to piece and batch to batch, and colors may look different on your screen. Photos and descriptions are representative, not exact.
- Sizes, availability and colors shown on the Site may change without notice. If we find an error in a description, price or quote, we may correct it and will contact you before filling an affected order.
3. Quotes and orders
- A quote is an offer to sell at the stated price and terms and is valid for the period stated in our Sales and Shipping Policy. An order becomes a binding contract only when we confirm it and receive payment.
- We may decline or cancel any order, including when an item is unavailable, a price or description was wrong, or payment can’t be verified. If we cancel an order you have paid for, we will refund the amount paid for the canceled items.
- Payment terms, lead times, shipping, pickup, international orders, taxes and cancellations are covered in our Sales and Shipping Policy.
4. Custom work
- For custom dyeing and made-to-order work, you are responsible for giving us complete and accurate specifications, including colors, Pantone numbers or swatches, sizes, lengths, quantities and finishing. Please review your quote carefully. We make custom items to the specifications you approve.
- Custom color matching is done as closely as possible to your swatch or Pantone, but an exact match is not guaranteed, and dyed colors can vary slightly between dye lots.
- If you send us designs, logos, patterns or other materials, you confirm that you have the right to use them and that our use of them to complete your order does not infringe anyone else’s rights. Your designs remain yours.
- We keep your custom projects confidential and will not post photos of your custom work publicly without your permission.
5. Title and risk of loss
Risk of loss passes to you when we hand your order to the carrier or when you or your representative pick it up at our showroom. Ownership of the products passes to you when we have received full payment.
6. Returns and claims
All sales are final. Claims for items that arrive damaged, defective or incorrect must be made as described in our Return Policy, which explains your remedies.
7. Use of products and compliance
- Our feathers and feather products are raw materials and components for fashion, costume, décor, craft, industrial and similar uses. You are responsible for deciding whether a product is suitable for your intended use and for making sure any product you make or sell with our feathers complies with the laws that apply to it, including product safety, labeling, flammability and children’s product rules.
- Feathers are flammable. Keep them away from open flames, candles and other heat sources. Small feathers and parts can be a choking hazard, and some people are sensitive or allergic to feathers or down. Products are not intended for use by young children without supervision.
- You are responsible for complying with import, export and wildlife laws that apply to you, including in your country if you are outside the United States.
8. Warranty disclaimer
Except for the remedies described in our Return Policy, products and the Site are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Some places do not allow certain warranty disclaimers, so some of these may not apply to you.
9. Limitation of liability
To the fullest extent permitted by law, Dersh Feather will not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, production or performance delays or business interruption, arising from your use of the Site or our products, even if we were told such damages were possible. Our total liability for any claim relating to an order will not exceed the amount you paid us for the products that are the subject of the claim. Nothing in these Terms limits liability that cannot be limited by law.
10. Indemnification
You agree to defend, indemnify and hold harmless Dersh Feather and its owners, employees and agents from any claims, losses and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, your breach of these Terms, the specifications, designs or materials you provide, or products you make or sell using our products.
11. Events beyond our control
We are not responsible for delays or failures caused by events beyond our reasonable control, such as supplier shortages, import or export restrictions, customs holds, disease-related bans on bird products, carrier delays, severe weather, natural disasters, power or internet outages, government action or labor disputes. We will let you know as soon as reasonably possible if such an event affects your order.
12. Third-party links
The Site may link to third-party websites and services, such as social media, press articles and our scheduling tool. We are not responsible for their content, policies or practices.
13. Governing law and disputes
These Terms and any order are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute relating to the Site, these Terms or any order will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. Before filing a claim, please contact us so we can try to resolve the issue informally.
14. Other terms
- Changes: we may update these Terms from time to time by posting a new version on this page. The version in effect when you place an order applies to that order.
- Entire agreement: these Terms, together with the policies referred to above and any written quote or invoice we issue for your order, are the entire agreement between you and Dersh Feather about your order. If a written quote or invoice conflicts with these Terms, the quote or invoice controls for that order. Terms in your purchase order or other documents do not apply unless we agree to them in writing.
- Severability and waiver: if any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any part of these Terms is not a waiver.
- Assignment: you may not transfer your rights under these Terms without our written consent.
